Acceptance of terms

These Terms of Service (“Terms”) form a binding agreement between you and RUQN (“RUQN,” “we,” “us,” or “our”) governing your access to and use of our website, products, and services (together, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization. If you do not agree, do not use the Services.

Description of service

RUQN provides an all-in-one work platform that brings together project management, a sales CRM, meetings, collaboration, and AI-assisted features in a single workspace. We may add, modify, or remove features over time to improve the Services.

Accounts & registration

To use most features you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use. You must be of legal age to form a binding contract to use the Services.

Acceptable use

You agree not to, and not to permit others to:

• Use the Services for any unlawful, harmful, or fraudulent purpose;
• Upload or transmit malware or otherwise interfere with the integrity or security of the Services;
• Attempt to gain unauthorized access to any system, account, or data;
• Reverse engineer, copy, or resell the Services except as permitted by law;
• Infringe the intellectual property or privacy rights of others;
• Send spam or unsolicited communications through the Services.

Plans, billing & refunds

Paid plans are billed in advance on a recurring basis (monthly or annually) according to the plan you select. By subscribing, you authorize us to charge the applicable fees and taxes using your chosen payment method. Subscriptions renew automatically unless cancelled before the end of the current billing period. Except where required by law, fees are non-refundable and partial periods are not prorated. We may change pricing with reasonable advance notice; changes apply to subsequent billing periods.

Intellectual property

The Services, including all software, design, text, graphics, and trademarks, are owned by RUQN or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services. No rights are granted except as expressly stated here.

Customer data & ownership

You retain all rights to the content and data you submit to the Services (“Customer Data”). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services and as directed by you. You are responsible for the accuracy and legality of your Customer Data and for having the rights necessary to use it within the Services.

Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if we are required to do so by law. Upon termination, your right to use the Services ends, and we may delete your Customer Data after a reasonable period, subject to applicable law.

Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.

Limitation of liability

To the maximum extent permitted by law, RUQN and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the amount you paid to us for the Services in the twelve months preceding the claim.

Changes to terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.

Governing law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which RUQN is established, without regard to its conflict-of-law provisions. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in that jurisdiction, unless otherwise required by applicable law.
